i. failed to comply with the provisions of these T & C,

In the event of termination, suspension or blocking of your access to all or part of the Platform, the Privacy Policy, restrictions regarding materials appearing on the Platform and the representations and warranties, indemnities, and limitation of liabilities set forth in these T & C shall survive any such termination, suspension or blocking.


4. RULES SET BY SERVICE PROVIDER
In the event You are registering with the Platform, You are required to provide accurate and complete information asked by the Service Provider on the Platform. As a part of the registration process, You accept to provide and verify Your True and Correct email address, Name, Mobile Number and an Account Password. Your Account Number and Password form your credentials for accessing Your Account and Services provided on the Platform and must not be shared with any other natural or legal person anytime.


If You provide any information that is untrue, inaccurate, out of date or incomplete (or becomes untrue, inaccurate, out of date or incomplete), or Service Provider have reasonable grounds to suspect that the information provided by You is untrue, inaccurate, out of date or incomplete, the Service Provider, may, in his sole discretion, discontinue the Services provided to You.


It is hereby reiterated that all data you provided, including without limitation, Registration Data, shall be subject to the terms set forth in our Privacy Policy, and you represent and warrant that you have the absolute right and authority to provide such data to the Service Provider.

Service Provider shall not be liable for any unauthorized transactions made through your account prior to the resolution of your request.


Your account cannot be transferred, assigned, or sold to a third party. You are solely responsible for maintaining the confidentiality of your Credentials and will be liable for all activities and transactions that occur through Your Account, whether initiated by you or any third party. Service Provider shall not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.


If your account has been compromised or Service Provider have reasonable grounds to suspect that your account has been compromised, Service Provider may, in its sole discretion, discontinue the Services provided to you by way of this Platform or discontinue your access to the Platform by terminating, suspending or blocking your Account.


: You will not use the Platform or the Services in a manner that
• Is illegal, or promotes or encourages illegal activity;
• Create, host, or transmit any content that is obscene, pornographic, sexually suggestive, or otherwise unlawful.
• Promotes, encourages or engages in the exploitation of children, or any activity related to the proliferation of child sexual abuse material;
• Promotes, encourages or engages in terrorism, violence against people, animals, or property;
• Promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
• Violates the Consumer Protection Act, 2019 and along with the rules set by the Ministry of Consumer Affairs or similar legislation.
• Violates the Immoral Traffic (Prevention) Act, 1956, or any provision as particularly mentioned in Bharatiya Nyaya Sanhita (BNS), Bharatiya Nagarik Suraksha Sanhita (BNSS) and Bharatiya Sakshya Adhiniyam (BSA) or similar legislation, or promotes or facilitates prostitution and/or sex trafficking;
• Infringes on the intellectual property rights of another User or any other person or entity;
• Violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity;
• Interferes with the operation of this Site or the Services found at this Site;
• Contains or installs any viruses, worms, bugs, Trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software or hardware; or
• Contains false or deceptive language, or unsubstantiated or comparative claims, regarding the Platform.
You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.


By accepting these T & C and using the Platform, it is deemed that You have consented to receiving calls, messages, or any information’s in connection with the Platform ay any time, on the email id and Contact Number provided by You.


The sharing of the information provided by you is governed by the Privacy Policy. You hereby unconditionally consent that such communications via email, SMS, instant message and/ or voice call is (a) upon your request and authorization, (b) ‘transactional’ and not an ‘unsolicited commercial communication’ and (c) in compliance with the relevant guidelines in India.

5. GENERAL LIMITATION OF LIABILITIES

A. FOR USER –

c. The User represents and warrants that they will not engage in any activity that could harm the reputation of the Platform, its systems, or other users, including but not limited to:

• Hacking or unauthorized access to systems or networks
• Spamming or unsolicited bulk email
• Malware distribution
• Intellectual Property Right Infringement or

d. You are as the Users responsible for maintaining the confidentiality of your account credentials and ensuring the security of your data. In the event that data is shared, leaked, or compromised due to actions beyond the control of Service Provider and Service Provider shall not be held liable.
e. Service Provider shall not be held responsible for any loss of business, revenue, profits, or any other consequential, indirect, or special damages incurred by Sellers due to circumstances beyond human control or technical issues. This includes but is not limited to acts of nature, government regulations, hardware or software failures, and network interruptions.
f. Service Provider conducts routine maintenance and updates to enhance the Platform’s performance. During scheduled maintenance, access to the Platform may be temporarily restricted. Service Provider will make reasonable efforts to notify User in advance when possible.
g. Service Provider reserves the right to terminate, suspend or block the Seller’s accounts at its discretion, with or without notice, for any violation of the T & C and/or Policy Privacy, fraudulent activity, or any action that may harm the integrity or reputation of the Platform.
In the event of account termination, suspension or blocking, User agrees to cease using the Platform immediately. Service Provider shall not be liable for any loss of data, content, or business resulting from account suspension or termination.
h. Unauthorized use or sharing of data is strictly prohibited. User must implement appropriate security measures to protect customer data from unauthorized access, breaches, or data leaks. Any security incidents must be reported promptly to Service Provider.


B. For Platform –
a. Platform represents and warrants that it will use reasonable efforts to provide the Services in accordance with the terms and conditions which is more particularly mentioned herein.
b. Platform will implement reasonable security measures to protect the User’s data and information. However, Platform do not guarantee the complete security of the Services or the User’s data.


10. PAYMENT TERMS
To process and facilitate secure financial transactions on the Platform, Service Provider may utilize third-party electronic payment processors or service providers i.e. Razorpay and which is as particularly mentioned in the Payment Terms and Conditions separately. By using this Platform, you agree to abide by the T & C and Payment Terms and conditions. In cases where a conflict arises between these T & C and the terms and conditions of payments, these T & C shall prevail.


We prioritize the protection of your information. Any information/data entered by You during transactions on the Platform is encrypted to safeguard against inadvertent disclosure to third parties. Importantly, your credit and debit card information are neither received nor stored by us in any manner. Instead, you directly provide this information to the authorized payment gateway, which adheres to the regulations and requirements of various banks, institutions, and payment franchises.


11. DISPUTE RESOLUTION, JURISDICTION
It is expressly agreed to by you hereto that the formation, interpretation, and performance of these T & C and/or Privacy Policy/ Payment T & C/ Cancellation and Refund Policy and any disputes arising therefrom will be resolved through first Mediation. It is further agreed to by you that the contents of this section shall survive even after the termination or expiry of the Terms of Use and/or Privacy Policy.
It is expressly agreed to by you hereto that the formation, interpretation, and performance of these T & C and/or Privacy Policy/ Payment T & C/ Cancellation and Cancellation and Refund Policy and any disputes arising therefrom will be first resolved through Mediation. The mediation shall be conducted in English / Tamil, and the seat of mediation shall be the city of Chennai, Tamilnadu, India. The mediator shall be mutually agreed upon by both parties. In the event that the Parties are unable to amicably resolve a dispute through mediation, the said dispute will be referred to arbitration by a sole arbitrator to be appointed by us, and the award passed by such sole arbitrator will be valid and binding on all parties. All cost of the Arbitration shall be borne solely in accordance with the Arbitrators award. The arbitration shall be conducted in English / Tamil, and the seat of Arbitration shall be the city of Chennai, TamilNadu, India, India.
You expressly agree that the Terms of Use, Privacy Policy and any other agreements entered into between the Parties are governed by the Indian Laws.


12. FORCE MAJEURE
Service Provider shall not be liable for damages for any delay or failure to perform its obligations hereunder, if such delay or failure is due to cause beyond Service Provider’s control or without its fault or negligence, due to Force Majeure events including but not limited to acts of war, acts of God, earthquake, riot, fire, festive activities sabotage, labour shortage or dispute, internet interruption, technical failure, breakage of sea cable, hacking, piracy, cheating, illegal or unauthorized.


13. PERSONAL DATA
You hereby acknowledge and agrees that performance of Services by Service Provider may require us to process, transmit and/or store Your personal data, including sensitive personal information. By using the Services provided by the Service Provider on this Platform You authorizes Service Provider to process, transmit and/or store personal data to the extent necessary for, and for the sole purpose of, enabling Service Provider to provide its Services.


14. UPDATES
From time to time, this Platform may automatically check the version of the mobile application installed on Your device and, if applicable, provide suitable updates (Hereinafter referred to as “Updates”). Updates may contain, without limitation, bug fixes, patches, enhanced functionality, plug-ins, and new versions of the application. By using this Platform, you authorize the automatic download and installation of Updates and agree to download and install Updates manually, if necessary.


15. MISCELLANEOUS PROVISIONS
a. Entire Agreement: These T & C, read with the Payment T & C, Privacy Policy, Cancellation and Refund Policy  form the complete and final contract between You and Service Provider with respect to the subject matter hereof and supersedes all other oral or written communications, representations, and agreements relating thereto.


b. Waiver: The failure at any time to require performance of any provision of these all these Terms and Conditions as defined in the section 1 (xiii) of this T & C, shall in no manner affect our right at a later time to enforce the same. No waiver by Service Provider of any breach of these Terms of Use and/or Privacy Policy, whether by conduct or otherwise, in any one or more instances, shall be deemed to be or construed as a further or continuing waiver of any such breach, or a waiver of any other breach of these Terms of Use and/or Privacy Policy.


c. Severability: If any provision/clause of these Terms and Conditions is held to be invalid, illegal or unenforceable by any court or authority of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions/clauses of these Terms and Conditions shall in no way be affected or impaired thereby, and each such provision/clause of these Terms and Conditions shall be valid and enforceable to the fullest extent permitted by law. In such case, these Terms and Conditions shall be reformed to the minimum extent necessary to correct any invalidity, illegality or unenforceability, while preserving to the maximum extent the original rights, intentions and commercial expectations of the You and Service Provider, as expressed herein.
