1. BILLING AND PAYMENT TERMS
This clause outlines the specific details regarding the timing, methods, and conditions for invoicing and remittance between the Platform and Users (which is more particularly mentioned in “Terms and Conditions”). These terms clarify the due dates for payments, acceptable payment methods, penalties for late payments, and any applicable discounts or incentives for early payments.

1.1. PREPAYMENT
Based on the Services selected by You the payment would be always in advance of availing the Services. You are responsible for ensuring that your payment information is current and that all invoices are paid punctually. You agree to prepay for the Services prior to the commencement of the service period, either on a monthly or annual basis. Subject to applicable Indian laws, rules, and regulations, and at our sole discretion, payments may be allocated to outstanding invoices in your billing account.

1.2. AUTORENEWAL
Unless you cancel your subscription (more particularly mentioned in “Clause-7.1.”) before the date of the Renewal i.e., before the end of your current billing cycle either Monthly Billing or Annual Billing, your subscription will automatically renew for an additional period, i.e., for Next Month or for the Upcoming Year. You authorize Platform to charge your designated payment method for the renewal terms at the then-current rate which would prevail at the time of the renewal at the sole discretion of the Platform.

You may cancel your subscription as per the Clause-7.1. However, please note that any cancellation will take effect at the end of your current billing cycle.

1.3. TAXES
The fees stated for the Services on the Platform do not include any applicable taxes, including but not limited to Goods and Services Tax (GST), or any other taxes, levies, or duties imposed by any governmental authority.

You are responsible for paying all such taxes, levies, or duties. We may collect and remit applicable taxes to the appropriate tax authorities.
If we are required to collect taxes, we will add the applicable tax amount to your invoice as a separate charge to be paid by you.
1.4. LATE PAYMENT OR NON-PAYMENT
On this Platform “Late Payment” means a situation which occurs when a payment for Services on the Platform is not received by the due date specified on the Invoice.

On this Platform “Non-Payment” means a situation which occurs when a payment for Services on the Platform is not received at all.
In the event of either a Late Payment or Non-Payment, the Platform reserves the right to take the following actions:

  • The Platform may suspend or terminate the Your Account of Services until the outstanding payment is received in full and invoice is generated.
  • Access to Your Account will not be restored until the full payment is received.
  • You yourself is only responsible for all costs incurred by the Platform in collecting overdue payments, including but not limited to Legal Notices, Dispute Resolution solution, Mediation Fees, Arbitration Fees, Legal Fees and Attorneys’ fees.
  • The Platform may decline to activate Your Account at its discretion based on the analysis of number of occurrences of Late Payment or Non-Payment.
  • If payment is not received within fifteen (15) days of the expiry date of the Invoice i.e., before the date of the renewal, the Platform may reclaim permanently delete Your Account. No data restoration will be possible after this period.



2. DOMAIN PAYMENTS
“Domain Registration” refers to the process of selecting and securing a unique domain name for a website. Once a domain name is registered, it is exclusive to the registrant for a specific period. “Domain Renewal” is the process of extending the registration period of a domain name.

2.1. DOMAIN REGISTRATIONS No refunds will be given once a domain is registered.

2.2. DOMAIN RENEWALS
You can manage Domain Renewals through Your Account on the Platform. Domain Renewal Notices are provided as a courtesy reminder. The Platform is not responsible for any failure to renew a domain or any failure to notify about a domain renewal. No refunds will be given once a domain is renewed. 3. FRAUDULENT ACTIVITY The Platform strictly prohibits any fraudulent or illegal activity on the Platform. This includes, but is not limited to, the unauthorized use of credit cards, debit cards, electronic funds transfers, or any other payment method.

Any such fraudulent or illegal activity may result in the immediate termination of Your Account and may be reported to appropriate law enforcement authorities, credit reporting agencies, financial institutions, and credit card.

The Platform reserves the right to take any necessary legal action to recover losses incurred due to fraudulent activity.

4. INVOICE DISPUTES.
If you have any questions or disputes regarding the generated Invoice, please contact us with Written Request within Seven (7) days of the date of the Invoice. Along with Written Request please provide detailed information about the Invoice Number, date, amount, and a description of the service , Detail of Your Account.

The Platform will investigate your dispute promptly and will provide you with a Written Resolution within Ten (10) business days. If the Platform determines that an error has been made, it will issue a fresh Invoice.

5. PRICE CHANGE
The Platform reserves the right to modify its pricing structure at any time, including but not limited to changes in Monthly or Annual Subscription fees, one-time charges, or any other fees associated with the Services on the Platform.

The Platform will provide about the Change in the Price either through an email or a post on the Platform. However, the Platform is not obligated to provide prior notice for certain price changes, such as those resulting from changes in taxes or regulatory requirements.

It is your responsibility to review your billing information regularly to stay informed of any price changes.

6. COUPONS & DISCOUNTS
Coupons and discounts offered by the Platform for the Services are subject to the following terms and conditions:

6.1. First-Time Use: Coupons and discounts are generally intended for first-time accounts or first-time customers. They may not be used for subsequent purchases or renewals.


6.2. Domain Registrations: The use of coupons for domain registrations is restricted and may not be permitted unless explicitly stated.

6.3. Multiple Sign-Ups: Creating multiple accounts to use the same coupon or discount is strictly prohibited.


6.4.Account Review and Charges:
Accounts found to be misusing coupons or discounts may be reviewed by the Sales department, and additional charges may be applied.

6.5. Suspension or Termination:
Severe misuse of coupons or discounts may result in the suspension or termination of the account.

6.6. Initial Purchase Only:
Coupons and discounts are valid only for the initial purchase and do not apply to renewals or recurring charges.

The Platform reserves the right to modify or revoke any coupon or discount at any time without prior notice.

7.CANCELLATIONS AND REFUNDS

7.1. CANCELLATION OF THE SERVICES

i. You may initiate the cancellation of your Services through your account. Please note that cancellation will take effect at the end of your current billing cycle.



ii. You will remain responsible for all fees and charges incurred up to the effective date of cancellation. However, you will continue to have access to the Services you have already purchased until the end of your prepaid term.

7.2. DOMAIN NAME CANCELLATION

Once a domain name is registered, it cannot be immediately cancelled. However, you may let the domain registration expire. When a domain name expires, it enters a grace period during which you can renew it. After the grace period, the domain name may be released for registration by others.

Please note that cancelling a domain name does not necessarily mean you will receive a refund. Domain registration fees are non-refundable.

7.3. TERMINATION

In lines with the Terms and Conditions, Platform may terminate the Service of associated with Your Account, in whole or in part, including deletion or confiscation of all files, content, and/or domain name registrations, without notice in the event that:

  • you fail to pay any Subscription Fees;
  • you violate the Platform Terms and Conditions, Privacy Policy
  • your conduct may harm Platform or others, cause Platform or others to incur liability, or disrupt Platform’s business operations;
  • you are abusive toward Platform’s staff in any manner; or
  • or any other lawful reason, including to comply with applicable law, or as otherwise specified here or on the Platform Terms and Conditions, Privacy Policy.
  • In such event, Platform will not refund to you any Subscription Fees paid in advance of such termination, and you shall be obligated to pay all fees and charges accrued prior to the effectiveness of such termination.

7.4. REFUNDS</br/>

    • i. Refunds are generally limited to first-time accounts. If you have previously had an account with us and cancelled, or if you have multiple accounts, you are not eligible for a refund.
    • ii. Any violation of the terms mentioned herein or on the Platform the Terms and Conditions, Privacy Policy, including but not limited to fraudulent activity, abuse of services, or non-payment, may waive your right to a refund.

7.5. NON-REFUNDABLE SERVICES:

      • iii. One-Time Fees: Fees for one-time services, such as setup fees or migration fees, are non-refundable.

7.3. TERMINATION

    • In lines with the Terms and Conditions, Platform may terminate the Service of associated with Your Account, in whole or in part, including deletion or confiscation of all files, content, and/or domain name registrations, without notice in the event that:

 

    • • you fail to pay any Subscription Fees; • you violate the Platform Terms and Conditions, Privacy Policy • your conduct may harm Platform or others, cause Platform or others to incur liability, or disrupt Platform’s business operations; • you are abusive toward Platform’s staff in any manner; or • or any other lawful reason, including to comply with applicable law, or as otherwise specified here or on the Platform Terms and Conditions, Privacy Policy.

 

    • In such event, Platform will not refund to you any Subscription Fees paid in advance of such termination, and you shall be obligated to pay all fees and charges accrued prior to the effectiveness of such termination.



7.4. REFUNDS

    • i. Refunds are generally limited to first-time accounts. If you have previously had an account with us and cancelled, or if you have multiple accounts, you are not eligible for a refund.

 

    • ii. Any violation of the terms mentioned herein or on the Platform the Terms and Conditions, Privacy Policy, including but not limited to fraudulent activity, abuse of services, or non-payment, may waive your right to a refund.



7.5. NON-REFUNDABLE SERVICES:

    • The following services are non-refundable:

 

    • i. Domain Name Registrations: Once a domain name is registered, it cannot be refunded.

 

    • ii. Consulting Services: Fees for consulting services, such as website design, development, or SEO, are non-refundable.

 

    • iii. One-Time Fees: Fees for one-time services, such as setup fees or migration fees, are non-refundable.


7.6. NON-REFUNDABLE SERVICES

    • Notwithstanding anything to the terms mentioned herein or on the Platform the Terms and Conditions, Privacy Policy, there are no refunds of any fee for any other services on the Platform.

 

    • This Cancellation and Refund Policy (Hereinafter referred to as “Policy”) applies to your use of services offered by Hostspace.cloud, a subsidiary of M/s. Zaire Technologies Limited Liability Partnership (Hereinafter referred to as “Platform”, “we”, “us”, or “our”). This Policy outlines the terms under which you may cancel your services and receive a refund.

1. BILLING AND PAYMENT TERMS

    • This clause outlines the specific details regarding the timing, methods, and conditions for invoicing and remittance between the Platform and Users (which is more particularly mentioned in “Terms and Conditions”). These terms clarify the due dates for payments, acceptable payment methods, penalties for late payments, and any applicable discounts or incentives for early payments.



1.1. PREPAYMENT

    • Based on the Services selected by You the payment would be always in advance of availing the Services. You are responsible for ensuring that your payment information is current and that all invoices are paid punctually. You agree to prepay for the Services prior to the commencement of the service period, either on a monthly or annual basis. Subject to applicable Indian laws, rules, and regulations, and at our sole discretion, payments may be allocated to outstanding invoices in your billing account.



1.2. AUTORENEWAL

    • Unless you cancel your subscription (more particularly mentioned in “Clause-7.1.”) before the date of the Renewal i.e., before the end of your current billing cycle either Monthly Billing or Annual Billing, your subscription will automatically renew for an additional period, i.e., for Next Month or for the Upcoming Year. You authorize Platform to charge your designated payment method for the renewal terms at the then-current rate which would prevail at the time of the renewal at the sole discretion of the Platform.

 

    • You may cancel your subscription as per the Clause-7.1. However, please note that any cancellation will take effect at the end of your current billing cycle.



1.3. TAXES

    • The fees stated for the Services on the Platform do not include any applicable taxes, including but not limited to Goods and Services Tax (GST), or any other taxes, levies, or duties imposed by any governmental authority.

 

    • You are responsible for paying all such taxes, levies, or duties. We may collect and remit applicable taxes to the appropriate tax authorities. If we are required to collect taxes, we will add the applicable tax amount to your invoice as a separate charge to be paid by you.



1.4. LATE PAYMENT OR NON-PAYMENT

    • On this Platform “Late Payment” means a situation which occurs when a payment for Services on the Platform is not received by the due date specified on the Invoice.

 

    • On this Platform “Non-Payment” means a situation which occurs when a payment for Services on the Platform is not received at all.

 

    • In the event of either a Late Payment or Non-Payment, the Platform reserves the right to take the following actions: • The Platform may suspend or terminate the Your Account of Services until the outstanding payment is received in full and invoice is generated. • Access to Your Account will not be restored until the full payment is received. • You yourself is only responsible for all costs incurred by the Platform in collecting overdue payments, including but not limited to Legal Notices, Dispute Resolution solution, Mediation Fees, Arbitration Fees, Legal Fees and Attorneys’ fees. • The Platform may decline to activate Your Account at its discretion based on the analysis of number of occurrences of Late Payment or Non-Payment. • If payment is not received within fifteen (15) days of the expiry date of the Invoice i.e., before the date of the renewal, the Platform may reclaim permanently delete Your Account. No data restoration will be possible after this period.



2. DOMAIN PAYMENTS

    • “Domain Registration” refers to the process of selecting and securing a unique domain name for a website. Once a domain name is registered, it is exclusive to the registrant for a specific period. “Domain Renewal” is the process of extending the registration period of a domain name.

 

    • 2.1. DOMAIN REGISTRATIONS No refunds will be given once a domain is registered.

 

    • 2.2. DOMAIN RENEWALS You can manage Domain Renewals through Your Account on the Platform. Domain Renewal Notices are provided as a courtesy reminder. The Platform is not responsible for any failure to renew a domain or any failure to notify about a domain renewal. No refunds will be given once a domain is renewed.

 

    • 3. FRAUDULENT ACTIVITY The Platform strictly prohibits any fraudulent or illegal activity on the Platform. This includes, but is not limited to, the unauthorized use of credit cards, debit cards, electronic funds transfers, or any other payment method.

 

    • Any such fraudulent or illegal activity may result in the immediate termination of Your Account and may be reported to appropriate law enforcement authorities, credit reporting agencies, financial institutions, and credit card.

 

    • The Platform reserves the right to take any necessary legal action to recover losses incurred due to fraudulent activity.


4. INVOICE DISPUTES.

    • If you have any questions or disputes regarding the generated Invoice, please contact us with Written Request within Seven (7) days of the date of the Invoice. Along with Written Request please provide detailed information about the Invoice Number, date, amount, and a description of the service , Detail of Your Account.

 

    • The Platform will investigate your dispute promptly and will provide you with a Written Resolution within Ten (10) business days. If the Platform determines that an error has been made, it will issue a fresh Invoice.



5. PRICE CHANGE

    • The Platform reserves the right to modify its pricing structure at any time, including but not limited to changes in Monthly or Annual Subscription fees, one-time charges, or any other fees associated with the Services on the Platform.

 

    • The Platform will provide about the Change in the Price either through an email or a post on the Platform. However, the Platform is not obligated to provide prior notice for certain price changes, such as those resulting from changes in taxes or regulatory requirements.

 

    • It is your responsibility to review your billing information regularly to stay informed of any price changes.



6. COUPONS & DISCOUNTS

    • Coupons and discounts offered by the Platform for the Services are subject to the following terms and conditions:

 

    • 6.1. First-Time Use: Coupons and discounts are generally intended for first-time accounts or first-time customers. They may not be used for subsequent purchases or renewals.

 

    • 6.2. Domain Registrations: The use of coupons for domain registrations is restricted and may not be permitted unless explicitly stated.

 

    • 6.3. Multiple Sign-Ups: Creating multiple accounts to use the same coupon or discount is strictly prohibited.

 

    • 6.4. Account Review and Charges: Accounts found to be misusing coupons or discounts may be reviewed by the Sales department, and additional charges may be applied.

 

    • 6.5. Suspension or Termination: Severe misuse of coupons or discounts may result in the suspension or termination of the account.

 

    • 6.6. Initial Purchase Only: Coupons and discounts are valid only for the initial purchase and do not apply to renewals or recurring charges.

 

    • The Platform reserves the right to modify or revoke any coupon or discount at any time without prior notice.

 

    • 7. CANCELLATIONS AND REFUNDS

 

    • 7.1. CANCELLATION OF THE SERVICES i. You may initiate the cancellation of your Services through your account. Please note that cancellation will take effect at the end of your current billing cycle. ii. You will remain responsible for all fees and charges incurred up to the effective date of cancellation. However, you will continue to have access to the Services you have already purchased until the end of your prepaid term.

 

    • 7.2. DOMAIN NAME CANCELLATION Once a domain name is registered, it cannot be immediately cancelled. However, you may let the domain registration expire. When a domain name expires, it enters a grace period during which you can renew it. After the grace period, the domain name may be released for registration by others.

 

    • Please note that cancelling a domain name does not necessarily mean you will receive a refund. Domain registration fees are non-refundable.
